Limited Warranty
Except as specified below, products shall be free from defects in materials and workmanship and shall conform to C2 Development, Inc. specifications in effect at the time of shipment or other specifications accepted in writing by C2 Development, Inc. as specified below, the date of shipment of the product:
PRODUCT LIMITED WARRANTY
- AquaIllumination Luminaire - 2 Years, Transferable
- Power Supply Modules – 1 Year
This warranty does not apply to products subjected to misuse, abuse, neglect, accident, alteration, modification, operation outside recommended parameters, power fluctuation or failure, combining incompatible products, using non-approved power supplies, or other like circumstances. C2 Development, Inc. shall make the final determination as to whether its products are defective. C2 Development, Inc. sole obligation for products failing to comply with this warranty shall be, at its option, to either repair, replace or issue pro rata credit for the nonconforming product where (i) C2 Development, Inc. has received written notice of any nonconformity; (ii) after C2 Development, Inc’s written authorization, Buyer has returned the nonconforming product to C2 Development, Inc.; and (iii) C2 Development, Inc. has determined that the product is nonconforming and that such nonconformity is not the result of improper installation, repair, misuse or other circumstance voiding the warranty. C2 Development, Inc. may provide new, exchanged or refurbished parts or assemblies when providing warranty services. The warranty period for repaired or replaced products shall be the remainder of the original warranty period.
THE FOREGOING WARRANTY AND REMEDIES ARE EXCLUSIVE AND MADE EXPRESSLY IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED, IMPLIED OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. C2 DEVELOPMENT, INC. DOES NOT ASSUME OR AUTHORIZE ANY OTHER PERSON TO ASSUME FOR IT ANY OTHER LIABILITY IN CONNECTION WITH ITS PRODUCTS.
Provided buyer is an authorized distributor of C2 Development, Inc. products, buyer shall pass this, but no other warranty that expands C2 Development, Inc. liability, to a third-party purchaser of C2 Development, Inc. products.
Limited Liability
C2 Development, Inc. shall not be liable for incidental or consequential damages, including but not limited to, the cost of labor, requalification’s, rework charges, delay, lost profits, or loss of goodwill arising out of the sale, installation or use of any C2 Development, Inc. product. If C2 Development, Inc. has any liability for breach of contract, breach of any implied condition, warranty or representation, the aggregate liability of C2 Development, Inc. to buyer shall be limited in respect of any occurrence or series of occurrences to the contractual value of the products or services that are the subject of the contract.
